A LEGAL DISCLAIMER

Welcome to Soullar Agency. These Terms of Service (“Terms”) govern your access to and use of our website, services, and digital products. By using our services, purchasing a product, or accessing any part of our site, you agree to be bound by these Terms.

1. Services Provided

​

Soullar offers digital operations support for service-based businesses, including but not limited to:

  • Backend systems and automation

  • Custom Notion dashboards

  • Business audits and workflow mapping

  • Digital templates and products

These services are provided under the scope and timelines agreed upon in your proposal or contract.

2. Client Agreements & Conduct

​

When working with Soullar, you agree to:

  • Show up to scheduled calls or notify us at least 24 hours in advance

  • Respond to project requests and feedback within agreed timelines

  • Use our services and tools for lawful, professional purposes only

We reserve the right to terminate a project without refund if the client engages in unlawful, unethical, or abusive behavior.

3. Payments & Refunds

​

Soullar requires a 50% deposit upfront to secure your project start date. Full payment is due prior to final delivery unless otherwise agreed in writing.

All payments are governed by our Refund & Cancellation Policy. Digital products are strictly non-refundable once delivered.

4. Intellectual Property

​

All assets created by Soullar (dashboards, systems, templates) remain the intellectual property of Soullar until full payment is received. After final payment, ownership of final deliverables transfers to the client, excluding any third-party tools or licensed content.

You may not resell, reproduce, or redistribute any Soullar templates, documents, or strategy materials without written permission.

5. Confidentiality

​

All materials, strategies, and business information shared between Soullar and the client are confidential. We will never disclose your internal operations, client data, or project files to third parties.

Likewise, we ask that you do not share our internal resources, documents, or tools outside of your business.

​

6. Digital Product Use

​

Digital downloads and templates are for individual business use only. Redistribution, resale, or use for client projects is not permitted unless explicitly licensed.

Soullar retains the right to pursue legal action for any misuse or unauthorized distribution of digital materials.

7. Third-Party Tools

​

We may recommend or use third-party software (e.g. Notion, Zapier, Make.com, Stripe) to support your build. While we assist with integration, we are not responsible for the uptime, policies, or limitations of these tools. All third-party software use is subject to their respective terms of service.

8. Project Timeline & Communication

​

Soullar operates on a milestone-based workflow:

  1. Discovery & Onboarding

  2. Strategy & Implementation Planning

  3. Draft Delivery

  4. Revisions (up to 2 rounds)

  5. Final Delivery & Support

Client communication is handled via Telegram and Notion. Projects may be paused if we do not receive required input within 7 business days. Prolonged ghosting may result in forfeited payments and termination of the project.

9. Service Changes & Termination

​

We reserve the right to modify or discontinue any service at our discretion, with reasonable notice.
We may also terminate your access to services if you breach these Terms or violate our refund and payment policies.

10. Disclaimer & Limitation of Liability

 

Our services and digital products are provided “as is.” While we aim for exceptional results, we do not guarantee any specific business outcomes.

To the fullest extent permitted by law, Soullar shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services or products.

11. Governing Law

​

These Terms are governed by the laws of New South Wales, Australia, and any disputes will be resolved in accordance with these laws.

​

12. Updates to Terms

​

Soullar may update these Terms at any time. The latest version will always be available on our website. Your continued use of our services after changes are made indicates your acceptance of the updated Terms.
